Terms
These are the commercial terms for paying LiveGrad by card. They are not legal advice, and they are not a substitute for your counsel’s review. Contact tom@fxginteractive.com.
The service
LiveGrad (livegrad.com) provides a monthly seat: one outbound-email agent role trained on the ICP you lock with us. The seat drafts, sits a graduation exam, and sends only after it passes. Higher tiers add more agents and, on Growth, CRM sync. This is a B2B tool for founders, agencies, and fractional CROs. It is not a school, a diploma, or a guarantee of meetings.
Plans and payment
- Starter — $2,000 per month — one graduated outbound-email agent.
- Growth — $3,500 per month — two agents and CRM sync.
- Scale — $6,000 per month — five agents. Weekly billing only if we agree in writing.
Checkout is a Stripe Payment Link. The subscription renews each month until you cancel. You can cancel anytime in Stripe; cancellation stops the next renewal. Fees already paid are not refunded for a partial month, except where the law requires a refund. Taxes may be added by Stripe. We do not store your full card number.
After payment you are sent to the kickoff page (https://livegrad.com/kickoff.html). If you abandon checkout, you can return from https://livegrad.com/cancel.html. No seat is delivered until Stripe marks the payment successful.
Graduation before send
We do not turn a sequence on until the seat passes the exam for your locked ICP (about 4 of 5 checks). You will see the rubric. A failing draft is rewritten. It is not “close enough” to send. You remain responsible for approving the ICP, the offer, and the inboxes the mail goes out from.
Your list and your mail
You provide prospect data and the domains or inboxes used to send. You represent that you have the rights and a lawful basis to use that data for the outreach you ask us to run, that you will honor opt-outs promptly, and that messages will identify you truthfully. CAN-SPAM, CASL, GDPR, and similar rules apply to you as the sender. LiveGrad will follow the suppression list you give us and will not invent a false identity.
For prospect personal data, you are the controller and LiveGrad is the processor. Instructions are: use the data to run your seat as described in these terms and the privacy notice. Tell us if you need a signed data-processing addendum before you upload a list. We will not sell the list or use it to prospect for other customers.
Acceptable use
Do not use LiveGrad to send unlawful, deceptive, or harassing email; to hide who the mail is from; to upload data you scraped from private accounts without a right to it; or to attack any system. We do not provide reverse-image search or private-person lookup. We may suspend a seat that is burning domains through lists or copy you insist on after we have flagged them.
What we do not promise
Outbound is uncertain. We do not promise a reply rate, a meeting count, inbox placement, or that a domain will stay healthy if volume or list quality is poor. The exam reduces spray. It does not repeal spam filters. The service is provided as available. We will work the seat with reasonable care during the subscription.
Nothing on the site or in a draft is legal, financial, or compliance advice. You decide whether a given campaign is lawful for your recipients.
Intellectual property
You keep your brand, ICP, list, and copy you supply. We keep LiveGrad’s exam, software, and site. You give us a limited right to use your materials to run the seat. We may describe the work in generic terms (no customer name, no list) unless you agree otherwise.
Confidentiality
Each side will use the other’s non-public business information only to perform these terms, and will not disclose it except to people who need it (including the subprocessors named in the privacy notice) or if the law requires it. This does not cover information that is already public through no fault of the receiver.
Liability
To the fullest extent the law allows, neither side is liable for lost profits, lost meetings, domain damage, or other indirect or consequential damages. Our total liability arising out of the service in a claim is limited to the fees you paid us for the seat in the three months before the claim. This cap does not apply to fraud, or where the law does not allow a cap. You will cover claims from third parties that arise from your list, your instructions, or your failure to honor an opt-out, except to the extent we caused them by ignoring those instructions.
Term and ending it
These terms start when you pay or when you submit ICP for a paid seat, whichever is first. You may cancel in Stripe. We may stop the service if you do not pay, if you breach the acceptable-use rules, or if we discontinue the product — in the last case we will give notice where we reasonably can and will not charge a renewal after the stop date. Sections that should survive (confidentiality, liability, lists already sent) do.
Law and disputes
Email tom@fxginteractive.com first and give us a reasonable chance to fix the issue. These terms are governed by the laws of the jurisdiction where the operator of LiveGrad is organized, without conflict-of-law rules. That jurisdiction is not stated on this page until counsel confirms the entity; ask us if you need the forum clause before you buy. If a court finds one sentence unenforceable, the rest still applies.
Whole agreement
These terms plus the privacy notice and the Stripe checkout you complete are the agreement. A note in chat does not change a price or a plan. If we sign an order form with you, the order form wins where it conflicts. We may update these terms by posting a new date on this page; the terms in effect when a billing period started cover that period. Continued use after a posted update covers the next period.
